1. YOUR PRIVACY IS IMPORTANT TO US

At LensBase, we value your privacy and present this Privacy Policy to assist you in understanding how we handle your Personal Information. Because we gather certain types of information about our site visitors, customers, employees, partners, and service providers, we want you to understand fully our policies surrounding the collection and use of that information when acting as a Data Controller under relevant data protection rules and regulations.

This Privacy Policy describes how LensBase collects, uses, and shares the Personal Information you provide. It also describes the choices available to you regarding our use of your Personal Information as well as your rights in determining what we do with the information that we collect or hold about you, and how you can access and update this information.

This Privacy Policy applies to LensBase websites including, not limited to www.thelensbase.com, mobile apps, and LensBase dedicated social media accounts (“Sites”). Please be aware that our Sites include links to other sites whose privacy practices may differ from those of LensBase. If you submit Personal Information to any of those third-party sites, your information is governed by their respective privacy policies. We encourage you to carefully read the privacy policy of any site you visit.

This Privacy Policy describes our privacy practices as required by the California Consumer Privacy Act (“CCPA”), EU General Data Protection Regulation (“GDPR”), UK General Data Protection Regulation (“UK GDPR”), and other applicable data protection laws (collectively “Privacy Laws”). This Privacy Statement applies where LensBase is acting as a Data Controller with respect to the Personal Information (which includes “Personal Data” as defined under relevant Privacy Laws) of our site visitors, customers, employees, partners, and service providers. Simply stated, this Privacy Policy applies where we determine the purposes and means of the processing of Personal Information.

This Privacy Policy does not create, modify, or extend any consumer rights under the laws of any US State, EU Data Subject rights, UK Data Subject rights, or LensBase obligations, except as provided by the CCPA, GDPR, UK GDPR, or other applicable Privacy Law.

2. PERSONAL INFORMATION WE COLLECT

When you complete a transaction, submit a request, set up an account, visit our Sites or otherwise interact with LensBase online or in person, you may be asked to provide information, including, but not limited to, your name, address, phone number, email address, payment information, company, title, and type of business. Data regarding your devices may also be provided, such as IP address, geolocation, data usage, your client or supplier account, etc. This information and data may be considered Personal Information under applicable Privacy Laws.

We may also collect your information from third-party sites when you access our Sites through a third-party such as Amazon, Facebook, Instagram, LinkedIn, etc. We may also disclose information collected from third parties to customize ads and to manage and facilitate messaging on third-party sites.

3. USE OF YOUR PERSONAL INFORMATION

The Personal Information we collect allows LensBase to provide a range of services (the “Services”) related to the purchase of our products and services, use of our Sites, participation in loyalty or rewards programs, etc.

LensBase may use Personal Information for the following purposes:

·       To provide and maintain our services, including to monitor the usage of our Service.

·       To manage your account: to manage your registration as a user of the Service. The Personal Information you provide can give you access to different functionalities of the Service that are available to you as a registered user.

·       For the performance of a contract: the development, compliance and undertaking of the purchase contract for the products, items or services you have purchased or of any other contract with LensBase through the Service.

·       To contact you: To contact you by email, telephone calls, SMS, or other equivalent forms of electronic communication.

·       To provide you with news, special offers and general information about other goods, services and events which LensBase may offer that are similar to those that you have already purchased or inquired about, unless you have opted not to receive such information.

·       To manage your requests: To attend and manage your requests for information or services.

·       To deliver targeted advertising to you: We may use your information to develop and display content and advertising (and work with third-party vendors who do so) tailored to your interests and/or location and to measure its effectiveness.

·       For other purposes: We may use your information for other purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns and to evaluate and improve our Service, products, services, marketing and your experience.

If you wish to object to the use of your Personal Information for these purposes, see “Your Rights Regarding Your Personal Information” in section 7 of this Privacy Policy.

4. RETENTION OF YOUR PERSONAL DATA

We retain your Personal Information while we are providing our products and services to you.

Thereafter, we retain your Personal Information to:

·       Respond to any questions, complaints or claims made by you or on your behalf.

·       Illustrate that we treated you fairly or in accordance with the law.

·       Administer our business properly.

·       Adhere with requirements of applicable law.

We will not retain your Personal Information for longer than necessary for the purposes for which it was collected as enumerated in this Privacy Policy.  Retention periods take into consideration applicable laws, our commercially reasonable business requirements, contractual obligations, and your expectations and requirements. Personal Information that is no longer necessary for these purposes will be securely deleted or anonymized in accordance with applicable Privacy Laws.

5. HOW WE DISCLOSE YOUR PERSONAL INFORMATION

We may disclose your Personal Information to any member of our group of companies or affiliates, as reasonably necessary for the purposes set out in this Privacy Policy.

We may also disclose Personal Information to third parties as follows:

·       Fulfilment Partners/Suppliers to complete and send purchase/orders.

·       Payment Service Providers to complete financial transactions. Such sharing shall be only to the extent necessary for the purposes of processing your payments, refunding such payments and dealing with complaints and queries relating to such payments and refunds.

·       Analytics Providers to support our marketing and product development efforts.

·       Advertising Networks/Partners to support our marketing efforts.

·       Social Networks to support our Service, marketing, and product development efforts.

·       Content Providers for the purposes of delivering site content.

·       Professional Advisors for the purposes of obtaining professional advice, insurance coverage, or pursuing or defending legal claims.

In addition to the specific disclosures of Personal Information set out in this section, we may disclose your Personal Information to:

·       Comply with a legal obligation to which we are subject, including a subpoena, court order or search warrant

·       Enforce our Terms of Service, this Privacy Policy, or other contracts with you, including investigation of potential violations thereof.

·       Respond to claims regarding violations of third party rights.

·       Protect the rights, property, or personal safety of LensBase, its employees, agents and affiliates, site users and/or the public.

·       Engage in fraud protection, spam/malware prevention and other data security matters.

·       Protect your vital interests or the vital interests of another natural person.

We reserve the right to transfer your Personal Information in the event of bankruptcy or a sale or transfer of all or a portion of our business or assets, an acquisition, merger or divestiture and all due diligence efforts for these items.

6. GEOGRAPHIC DATA TRANSFERS

LensBase is a global business based in the United States. LensBase, and our affiliated companies, operate worldwide.

Your Personal Information may be transferred to countries outside your jurisdiction. Where applicable, LensBase will attempt to ensure that data transfers comply with applicable data privacy and protection laws by implementing appropriate safeguards, such as utilizing standard contractual clauses or other lawful mechanisms.

The Privacy Laws in some countries may not provide protections equivalent to those in your country of residence, and your government may or may not deem such privacy protections adequate. We may process your information in, or transfer your information to, the United States or other countries.

7. YOUR RIGHTS REGARDING YOUR PERSONAL INFORMATION

As an individual whose Personal Information has been collected by LensBase, you are considered a “Data Subject” as defined under relevant Privacy Laws.  Depending on the jurisdiction in which you reside and the Privacy Laws applicable to your Personal Information, you may have the following rights, which may require a verified request to exercise:

·       Access: You may request your Personal Information, receive information on the public and private entities to whom your Personal Information has been provided, and/or be provided with a copy of your Personal Information.

·       Rectify: You may request to update and/or correct inaccurate or out-of-date Personal Information.

·       Erasure or to be forgotten: You may have the right to have your Personal Information erased.

·       Restriction: You may have the right to restrict the processing of your Personal Information.

·       Object to processing: You may have the right to object to or restrict specific types of processing of your Personal Information.

·       Data portability:  You may have the right to request a portable copy of your Personal Information. Data Portability does not apply to paper records, and must not prejudice the rights of others, or involve sensitive company information.

·       Refuse automated decision making: You may have the right not to be subject to decisions based solely on automated processing (i.e., without human intervention).

·       Lodge complaints: You may have the right to lodge a complaint with a supervisory authority in the jurisdiction where you reside, where you work, or where the potential infringement took place.

·       Revoke Consent: You may have the right to revoke consent previously provided related to your Personal Information.

Data Subject access requests apply to all individuals regardless of whether your jurisdiction has passed any privacy laws.

LensBase may charge a reasonable fee or reject your Data Subject request if your request is not valid under applicable law, repetitive, or excessive. We may also request to verify your identify before you receive a response. LensBase may reject your request if your identity cannot be validated.

8. CHILDREN’S PRIVACY

We do not knowingly collect personally identifiable information from anyone under the age of 13. If you are a parent or guardian and you are aware that your child has provided us with Personal Information, please contact us as indicated in Section  20 of this Privacy Policy If we become aware that we have collected Personal Information from anyone under the age of 13 without verification of parental consent, we take steps to remove that information from our systems.

California Consumers: If a California consumer is under 13 years old, a parent or guardian must consent to the sale of the minor’s Personal Information. However, if the California consumer is between the ages of 13 and 16 years old, the minor may provide consent to the sale of their Personal Information.

EU Residents: We do not knowingly collect, or process Personal Information related to EU Data Subjects under the age of 16 or the age requirement for GDPR consent for minors in the relevant EU Member State, without explicit consent from a parent or guardian.

9. COOKIES, WEB BEACONS AND OTHER TRACKING TECHNOLOGIES

LensBase and its affiliates and service providers (e.g., marketing providers, analytics providers, and/or payment processors) utilize technologies such as cookies, beacons, tags, and scripts. We use these technologies in analyzing trends, administering our Sites, tracking users’ movements around our Sites, and gathering information about our Site users. We may receive reports based on the use of these technologies by these third parties on an individual as well as an aggregated basis.

We may use cookies for our shopping cart, to remember users’ settings (e.g., language preference), to enable us to track and target the interests of our users to enhance the overall experience of using our Sites, and to authenticate users.

You can control the use of cookies at the individual browser level. If you reject cookies, you may still use our Sties, but your ability to use some features or areas of our Sites may be limited.

Additionally, our Sites may be configured to recognize general global privacy control (“GPC”) or Do Not Track (“DNT”) signals from most browsers’ settings. As not all browsers and extensions have a standard signal it may be possible that your specific GPC or DNT signal is not technically recognized by our Sites.

10. MOBILE AND OTHER DEVICES

LensBase and its affiliates and service providers, may collect and store unique identifiers matched to your mobile device to deliver customized ads or content while you use our Sites.  We, or third parties, may collect Personal Information such as your email address or data passively collected from you such as your device identifier, location, or IP address to customize your experience across our Sites. Your mobile devices may allow you to turn off location services or otherwise restrict what data is provided when you use our Sites or navigate the internet.

By adjusting the privacy and security settings on your device, you can manage how your mobile device and mobile browser share information, as well as how your mobile browser handles cookies and other tracking identifiers. Please refer to instructions provided by your mobile service provider or the manufacturer of your device to learn how to adjust your settings.

11. EMAIL MARKETING COMMUNICATIONS

We may send you marketing messages via email and/or mail to keep you updated on our products and services.

You can stop receiving marketing messages from us at any time through the following methods:

·       By clicking on the ‘unsubscribe’ link in any email communication we send you

·       By contacting us as indicated in Section  20 of this Privacy Policy

Once one of these methods is completed, we will honor your request and update your profile to ensure that you don’t receive further marketing messages.

We will process opt-out/unsubscribe requests as promptly as possible in accordance with applicable Privacy Laws, and in most cases, within 10 days. Please note that when you unsubscribe from our marketing email there may be a delay in the discontinuation of our ads directed to you on third party sites.

Please note that the discontinuation of marketing messages will not stop any service communications such as order updates.

12. TEXT MESSAGING

You have the option to receive text messages from us. When you opt-in to text messages on any of our Sites, we may send you service notices, updates on promotional offers, and more. If you choose to receive text notifications on your device, we may collect and store the information you provide, such as your phone number and when you read a text message.

You can opt out of receiving text messages at any time by texting "STOP" to our text messages. It is important to note that information regarding opting in for text messages will not be shared with third parties, except for aggregators and providers of the text message services.

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the categories listed in Section 3 “ Use of Your Personal Data” in this Privacy Policy exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

13. ARTIFICIAL INTELLIGENCE AND CHAT AGENTS

We may use chat agents with artificial intelligence (AI) to facilitate communication with you and help you utilize our Services. When you interact with our AI and chat agents, we may collect data such as your name, email address, and phone number. We use this data to provide personalized recommendations, provide you with our services, address your inquires, and improve our products. These conversations may be recorded and shared with our service providers to ensure we are best serving you and others.

14. THIRD-PARTY SITES

Our Service may contain links to other sites that are not operated by us. If you click on a third-party link, you will be directed to that third party's site. We strongly advise you to review the Privacy Policy of every site you visit.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

15. SECURITY OF YOUR PERSONAL DATA

The security of your Personal Information is important to us, but remember that no method of transmission over the internet, or method of electronic storage is 100% secure. We have implemented commercially reasonable organizational, technical, and administrative safeguards to protect your personal information, but we cannot guarantee its absolute security.

If you should suspect any unauthorized activity, please report this to us immediately. You can report suspicious activity or other concerns by contacting us as indicated in Section  20 of this Privacy Policy

16. CCPA/CPRA PRIVACY NOTICE (CALIFORNIA PRIVACY RIGHTS)

This section 16 of our Privacy Policy for California residents supplements the information contained in our Privacy Policy and it applies solely to all visitors, users, and others who reside in the State of California.

We collect and process CCPA Personal Information in each of these categories to facilitate our business purposes listed in Section 3 “Use of Your Personal Data” of this Privacy Policy.

The CCPA considers certain CCPA Personal Information to be sensitive information (“CCPA Sensitive Personal Information”). We do not believe that we use or disclose CCPA Sensitive Personal Information for purposes other than those specified in section 7027(l). In accordance with California law, we may have used the following categories of CCPA Sensitive Personal Information within the past 12 months in the following ways:

·       Precise geolocation: Data obtained from a device used or intended to be used to locate a consumer within a circular geographic area with a radius of 1,850 feet or less (except as prescribed by regulations).

In the last 12 months, CCPA Sensitive Personal Information may have been disclosed for the following business purpose to the following categories of third parties:

·       Analytics providers: To understand and improve effectiveness of marketing efforts by general location.

If you are a resident of California, you may have the following rights under the CCPA, CPRA, and “Shine the Light” law:

·       Notice: You may have the right to be notified of what categories of CCPA Personal Information will be collected at or before the point of collection and the purposes for which they will be used and shared.

·       Access: You may have the right to request the categories of CCPA Personal Information that we collected in the previous twelve (12) months, the categories of sources from which the Personal Information was collected, the specific pieces of CCPA Personal Information we have collected about you, and the business purposes for which such CCPA Personal Information is collected and shared. You may also have the right to request the categories of CCPA Personal Information which were disclosed for business purposes, and the categories of third parties in the twelve (12) months preceding your request for your CCPA Personal Information.

·       Data portability: You may have the right to receive the CCPA Personal Information you have previously provided to us.

·       Erasure: You may have the right to have your CCPA Personal Information deleted. However, please be aware that we may not fulfil your request for deletion if we (or our service provider(s)) are required or permitted to retain your CCPA Personal Information for one or more of the following categories of purposes: (1) to complete a transaction for which the CCPA Personal Information was collected, provide a good or service requested by you, or complete a contract between us and you; (2) to ensure our website integrity, security, and functionality; (3) to comply with applicable law or a legal obligation, or exercise rights under the law (including free speech rights); or (4) to otherwise use your CCPA Personal Information internally, in a lawful manner that is compatible with the context in which you provided it.

·       To opt-out of sale or sharing: The right to opt out of the sale or sharing of your CCPA Personal Information.

·       Limit use of sensitive personal information: The right to limit the use of your CCPA Sensitive Personal Information for any purpose other than what is specified in CCPA Regulations section 7027(m).

·       Non-discrimination: Businesses cannot deny goods or services, charge a different price, or provide a different level or quality of goods or services to those exercising their rights under the CCPA. However, if you refuse to provide your Personal Information to a business or ask it to delete or stop selling your Personal Information, and that Personal Information or sale is necessary for the business to provide you with goods or services, the business may not be able to complete that transaction.

If you are a CA resident and you would like to exercise rights you may have listed above, please contact us as indicated in Section  20 of this Privacy Policy  We will not discriminate against you in any way for your exercise of any CCPA rights.

We may need to verify your identity before fulfilling your requests. If we cannot initially verify your identity, we may request additional information to complete the verification process. Any Personal Information you disclose to us for purposes of verifying your identity will solely be used for the purpose of verification. We may deny certain requests, or only fulfil some in part, as permitted or required by law. For example, if you request to delete CCPA Personal Information, we may retain such CCPA Personal Information that we need to retain for legal purposes (e.g., tax accounting).

17. FINANCIAL INCENTIVE NOTICE (CALIFORNIA RESIDENTS)

This section 17 of our Privacy Policy for California residents supplements the information contained in our Privacy Policy and it applies solely to all visitors, users, and others who reside in the State of California.

The CCPA also allows us to offer certain financial incentive programs that may result in different prices, rates, or quality levels when consumers make purchases through these programs.

We may from time to time offer rewards programs, benefits, and other offerings to consumers related to the collection, retention, or sale of Personal Information that may be deemed a “financial incentive” or “price or service difference” under the CCPA.

When you sign up for these programs, we will ask you to provide Personal Information such as your contact information, email address or phone number to receive messages that include information about the programs. The value of your Personal Information to us is related to the value of the free or discounted products that you obtain in connection with these programs, and it is based on the expense related to offering those free or discounted products or services. Before we save your Personal Information to our databases or send you any promotion offer, you will be presented with the opportunity to opt-in to the program. You may withdraw from participating in these programs at any time.

We are providing you with this information so that you may make an informed decision on whether to participate in our programs.

Examples of the programs we may offer include:

·       Reward Program: We may offer a program where customers can earn rewards, accumulate points on purchases, and discounts on purchases.

·       Promotions: We may, from time to time, offer coupons, discounts, or other promotions. Examples include providing your email address and agreeing to receive marketing emails in exchange for a coupon or providing an email address in association with a referral. Such offers may not be always available. The amount and terms of such offers will be presented to you at the time of the offer.

It is always optional to participate in promotional programs we may offer.  You can terminate program participation at any time as explained in the applicable program terms, or by contacting us as indicated in Section  20 of this Privacy Policy.

State consumer privacy laws may provide their residents with additional rights regarding our use of their personal information.

Colorado, Connecticut, Virginia, and Utah each provide their state residents with rights to:

·       Confirm: whether we process their personal information.

·       Erasure or to be forgotten: You may have the right to have your Personal Information erased.

·       Data portability:  You may have the right to request a portable copy of your Personal Information. Data Portability does not apply to paper records, and must not prejudice the rights of others, or involve sensitive company information.

·       Opt-out: of Personal Information processing for targeted advertising and sales.

Colorado, Connecticut, and Virginia also provide their state residents with rights to:

·       Rectify: You may request to update and/or correct inaccurate or out-of-date Personal Information.

·       Opt-out: of profiling in furtherance of decisions that produce legal or similarly significant effects.

Nevada residents who wish to exercise their sale opt-out rights under Nevada Revised Statutes Chapter 603A may contact us as indicated in Section 20 of this Privacy Policy.  However, please know we do not currently sell data triggering the opt-out requirements of that statute.

19. CHANGES TO THIS PRIVACY POLICY

We may update our Privacy Policy from time to time. We will notify you of any changes by posting the new Privacy Policy on this page.

We will let you know via email and/or a prominent notice on our Service, prior to the change becoming effective and update the "Last updated" date at the top of this Privacy Policy.

You are advised to review this Privacy Policy periodically for any changes. Changes to this Privacy Policy are effective when they are posted on this page.

RELATIONSHIP WITH SHOPIFY

Some LensBase Services are hosted by Shopify, which collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in countries other than where you reside, in order to provide and improve the Services for you. In addition, to help protect, grow, and improve our business, we use certain Shopify enhanced features that incorporate data and information obtained from your interactions with our Store, along with other merchants and with Shopify. To provide these enhanced features, Shopify may make use of personal information collected about your interactions with our store, along with other merchants, and with Shopify. In these circumstances, Shopify is responsible for the processing of your personal information, including for responding to your requests to exercise your rights over use of your personal information for these purposes.
